Customer, Affiliate and Partner Terms and Conditions Agreement

By purchasing products and services from weavedetangle.com You agree to abide by the terms and conditions contained in this Agreement in order to purchase products and services from weavedetangle.com. and/or become a Weave Detangle Affiliate and/or Partner. Please read this Agreement carefully before purchasing products and services from weavedetangle.com. We recommend you also read this agreement at least annually. By purchasing products and services from weavedetangle.com, and/or by becoming a Weave Detangle Affiliate and/or Partner you indicate your acceptance of this Agreement and its terms and conditions. If You do not accept this Agreement, do not purchase products and services from weavedetangle.com and do not become a Weave Detangle Affiliate and/or Partner. If you do proceed with your purchases, you are agreeing to all applicable Terms and Conditions.

Only portions of this agreement that apply to you are enforceable. If you are only a Weave Detangle customer, the Affiliate and Partner terms and conditions do not apply. If you are only a Weave Detangle Affiliate or Partner, the Customer Terms and Conditions do not apply to you. If you become both a customer and an Affiliate or Partner, the entire Terms and Agreement apply to you.

Customer Terms and Conditions Agreement

Weave Detangle is not responsible for any negligence, adverse actions, issues, or problems that shall occur due to using our products and services. You agree not to hold Weave Detangle liable for any negligence. Because the original condition of the hair you provide Weave Detangle cannot be determined, you agree not to hold Weave Detangle liable for any damages resulting in the shampooing, deep conditioning, detangling and shipping of your hair. Weave Detangle may attempt to fix any tears or rips in your hair netting or hair but are not required to guarantee results. Shampooing, deep conditioning and detangling your hair may revert the hair back to its original state. You understand that some wavy hair may be naturally straight, and straight hair may have a slight curl pattern to it. You will not hold Weave Detangle liable for any changes in the hair texture. Weave Detangle works with Human and Synthetic hair. While Human hair tends to be a better quality originally, synthetic hair does detangle very well also.

Weave Detangle shall not be responsible for delays or failures in detangling processes because performance and outcomes are based on the quality of the hair when it was originally purchased by the customer. When performance is made commercially impracticable due to circumstances beyond its reasonable control Weave Detangle is not liable. This includes, without limitation, strikes, labor difficulties, riot, war, fire, death, curtailment of a party’s source of supply, or government decrees or orders.

Although Weave Detangle normally ships hair back to customers in 2-3 business days our Official policy is, Weave Detangle will ship your hair back to you in 7 business days from the date Weave Detangle receives your hair. If you choose to have color added to your hair Weave Detangle will ship your hair back to you in 8 business days. These timeframes are subject to change due to unforeseen circumstances. You agree not to hold Weave Detangle liable for any shipping times.

If any provision of the Agreement, in its current form or as may be amended, is found to be invalid or unenforceable for any reason, only the invalid portion(s) of the provision shall be severed and the remaining terms and provisions shall remain in full force and effect. The severed provision, or portion thereof, shall be reformed to reflect the purpose of the provision as closely as possible.

You can post and re-post preapproved Weave Detangle pictures on Facebook and other social media. If you do, it is a good idea to sign up as an Affiliate or Partner and earn money from customers who purchase products and services from us based on your advertising efforts. Becoming an Affiliate or a Partner is not required of any of our customers.

You agree that Weave Detangle can send you occasional advertising/marketing emails and text messages regarding Weave Detangle products and services. These messages will be limited to no more than 5 advertising/marketing messages in a 30 day period.

All Before and After photos must meet company branding standards and be approved by the contact@weavedetangle.com before posting. Weave Detangle may email you before and after pictures.

Since our products and services produce different results for different people, we do not guarantee specific results or offer a money back guarantee on services. We have never been unable to detangle a customers hair. We do not accept tight, curly hair or dreadlocks, dress. But, If we are unable to detangle your hair, we will refund your money minus shipping charges paid by Weave Detangle and a handling $5 or 20% handling fee, whichever is greater amount. Our products are cosmetic products and cannot be returned once the product top is opened and the product is used. To receive a refund on a product , all products must be post-marked within thirty (30) days of the ship date in resalable, unopened, ‘new’ condition. The customer is responsible for all shipping costs to return the product. And the unopened, unused product must be returned to PO BOX 441488, Fort Washington, MD 20749 within 30 days of the order date. The returned item must contain the order summary/ receipt. Gift cards cannot be returned. Advertising materials cannot be returned. Gift cards can only be used to purchase “One Time “Purchase Delivery Kits: to “Add Color” to hair; and to purchase Neck Naps. Gift cards cannot be used to purchase “3 Month Discounted” Delivery Kits or any other product or service on Weavedetangle.com.

In any action arising from or relating to the Agreement, the parties waive all claims for incidental and/or consequential damages, even if the other party has been apprised of the likelihood of such damage. The parties further waive all claims to exemplary and punitive damages. Notwithstanding the foregoing, this Damage Limitation shall not apply to claims alleging the breach of the non-solicitation or confidentiality provisions contained in these Policies.

Affiliate and Partner Terms and Conditions Agreement

This Terms and Conditions Agreement-hereby named the "Agreement", is made by and between Weave Detangle LLC, a Maryland, USA Limited Liability Company ("weavedetangle.com"), and you, as an Affiliate and/or Partner utilizing the Weavedetangle.com Affiliate and Partner program hereby named ("You", "Your", "Affiliate", “Partner” , “Affiliate/Partner Program ”). By applying to Weave Detangle Affiliate/Partner Program, You agree to abide by the terms and conditions contained in this Agreement in order to become a Weave Detangle Affiliate and/or Partner. Please read this Agreement carefully. We recommend you also read this agreement at least annually. By becoming a Weave Detangle Affiliate and/or Partner you indicate your acceptance of this Agreement and its terms and conditions in its entirety.If You do not accept this Agreement, do not become a Weave Detangle Affiliate and/or Partner. Weave Detangle Affiliate and Partner Terms and Conditions Agreement This Customer Affiliate Partner Terms and Conditions Agreement hereby named the "Agreement", is made by and between Weave Detangle LLC, a Maryland, USA Limited Liability Company ("weavedetangle.com"), and you, as an Affiliate utilizing the Weavedetangle.com Affiliate and/or Partner service hereby named ("You", "Your", "Affiliate"). You must agree to abide by the terms and conditions contained in this Agreement in order to participate. Please read this Agreement carefully before registering and using the Service as an Affiliate/Partner. By signing up for weavedetangle.com’s Affiliate/Partner program you indicate Your acceptance of this Agreement and its terms and conditions. If You do not accept this Agreement, do not use the weavedetangle.com Affiliate/Partner Program as an Affiliate/Partner. The section of this agreement only applies to Affiliates/Partners. The following agreement is summarized as follows:

You place our (“Weave Detangle) banners anywhere on your site as you see fit, or within non-spam emails
We may email you or text you concerning our Affiliate/Partner Program or Weave Detangle information.
We might change the service here and then
Adult, Hate, or other related sites are not allowed
You will be paid your commissions, at such time as your account balance is $50 or more.
All statistics are collected and calculated by our Affiliate management company Shareasale.com, and will be the only valid stats used for determining commissions.
Any page that contains weavedetangle.com links, banners, or code must be written in English
As an affiliate/partner, you can only have 1 account. You can list multiple domains in one account, but only one account is allowed. Self-referrals for affiliate/partner accounts are strictly prohibited.
If you switch from an Affiliate account to a Partner account to begin earning 10% and be eligible for $50 Partner referral bonuses, you must email contact@weavedetangle.com with the Subject line “SWTCH TO PARTNER” in order to have your Partner account activated. If you do not email or call customer service with this request, your account will continue to be a 5% Affiliate account instead of a 10% Partner account. You must register as a Partner on weavedetangle.com “Affiliate/Partner” page, pay your $300 annual “Partner Fee” which will automatically charge the card you paid with annually, on the date you make your first payment. Allow 5 business days for the switch to occur.
International affiliates (those with addresses outside of the 50 U.S. States) are paid via Direct Deposit where possible.
Your physical address listed for receiving checks MUST be your actual address. Mail forwarding services, for the purpose of avoiding network demographics, is NOT allowed. For example, if you choose USA as your country, you must be in the USA. If you choose Russia as a country, you must be in Russia.
You won't hold us liable for anything, a misdirected link to a weavedetangle.com Web site does not mean that Weave Detangle endorses or accepts any responsibility for the content or the use of such Web site.
You cannot SPAM. You cannot SPAM. You cannot SPAM. We will terminate your account on the first offense of SPAMMING. Do not send email to lists or groups that you do not have permission to send to. We cannot stress this enough, we WILL terminate your account on the first offense.
You may place banners or links within your newsletters, in content of your website, or within other web related content.
Affiliate/Partner accounts that are left inactive will be removed from our system if their balance is equal to or less than $25. If an abandoned affiliate/partner account has a balance between $25 and $50, a $25 fee will be assesed once per calendar month, until the balance is equal to zero dollars - and is closed. At no time will an affiliate/partner ever owe monies to Shareasale.com, Inc. based on fees - the account will simply be closed. An abandoned affiliate/partner account is defined as any account that has not been logged in to for a period of 6 months, nor have any transactions been posted to that account. If one or the other of those conditions are true - the account will remain in an active state.
You are responsible for requesting a Manual ID if you would like to provide this ID to customers who can manually enter this ID at checkout in the “GIFT CARD/AFFILIATE/PARTNER ID” box. A Manual ID is not required. Options to receive a Manual ID are automatically sent to Affiliates/ Partners Who register to be an Affiliate/ Partner directly from weavedetangle.com. Provide customers with your Manual ID ( if applicable) as you see fit as long as your distribution is in accordance with these Terms and Conditions outlined in this document.
NOT ALLOWED: All other uses of banners or links, such as newsgroups, chat rooms, ICQ, message boards, banner networks, hit farms, counters, or guestbooks etc. are NOT allowed.
NOT ALLOWED: Any placement of creative in a "Desktop" advertising scheme. This includes any and all 3rd party advertising platforms that use a desktop application to display ads in any form.
NOT ALLOWED: Any display of a window that isn't the result of a direct click by the end-user.
Failure to abide by these rules could mean termination from a given affiliate/partner program, or from weavedetangle.com completely with a complete forfeit of commissions.
Fraud is a serious offense, and will be treated as such. Fraud is defined as any action that intentionally attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts, or manually "refreshing" of pages, for the sole purpose of creating commissions. ANY ATTEMPTED FRAUD OR FRAUD WILL RESULT IN MEMBERSHIP TERMINATION AND VOIDED COMMISSIONS.
If you run or utilize an incentive website, you MAY participate in Weave Detangle pay-per-sale programs without any special permission. Weave Detangle only pays commissions for sales.
At Weavedetangle.com, there are two different types of Affiliates. An Affiliate and a Partner. An affiliate earns 5% on all sales, Affiliate Signup fee is FREE. A Partner earns 10% on all sales except Partner referrals. For Partner Referrals, Partners earn $50 for each new Partner they refer. To sign up and be a Partner there is an annual $300 Partner fee. This fee is automatically charged to you annually to remain in the Partner program. If your fee is not paid annually, your account will automatically revert back to the Affiliate 5% commission rate. You will not earn $50 bonuses for Partner referrals. Any sales you make during this time will not be retroactively paid to you. You will only earn 5%. It is critical to ensure your Annual Partner Fee is paid on time.
You cannot refer yourself as a Partner with Weave Detangle and receive commission. Sorry.
You cannot transfer your commissions.
You cannot split your commissions.
If your customers do not use your tracking link or your Manual Affiliate/Partner ID, you cannot receive retroactive payments. Make sure all your customers use your banners or your Manual ID. Weave Detangle will not pay you commissions on products and/or services that do not have your unique banner code or your Manual ID associated with it. There are no exceptions to this rule.
All products and services shall be purchased exclusively from Weave Detangle.
Commissions will only be issued for the sale of Weave Detangle Delivery Kits, Neck Nap, Adding color, and Gift Cards.
Commissions will not be paid on Advertising Materials or Advertising Packages.
For the sale of monthly plans, commissions will be paid on the initial sale amount ( one month price),one time. Monthly recurring plans will not generate monthly recurring commissions.
Commissions will only be paid for online orders. If a customer contacts Weave Detangle’s Customer Service phone number, commissions will not be generated for any Affiliates and/or Partners. PLEASE ensure your customers purchase their products and services on Weave Detangle’s website using approved banners and/or entering your Manual ID at checkout. PRIVACY POLICY Weavedetangle.com respects the privacy of its users and will not disclose personal information to third parties without the express permission of You and Your company. If You have any questions, please contact contact@weavedetangle.com. DEFINITIONS "Performance Marketing" occurs when individual web sites that generate their own traffic ("Affiliates"and “Partners”) partner with online Merchants ("Merchant" or “Weave Detangle”) and the Merchant pays a commission or other reward for those Visitors resulting in a measurable action such as a closed sale. "Affiliate" means an individual or business generating their own traffic and thus rewarded for legitimate sales on weavedetangle.com. Affiliates use Shareasale.com for reporting, and receipt of commission payment. Weave Detangle Affiliates earn 5% commissions on all sales. Sign up is FREE. "Partner" is a 10% Affiliate who is eligible to earn a $50 Partner referral bonus for each Partner they refer. means an individual or business generating their own traffic and thus rewarded for legitimate sales on weavedetangle.com. Partners use Shareasale.com for reporting, and receipt of commission payment. Weave Detangle Affiliates earn 10% commissions on all sales. Sign up is $300 paid automatically Annually. "Merchant" means an e-commerce entity paying a commission or bounty for legitimate sales by a customer. Merchants (Weave Detangle)useShareasale.com facilitate relationships as well as gain tracking, reporting, and issuance of commission payment. "Customer" means any person, or user that clicks on a Link to Weave Detangle’s Web site placed on an Affiliate/Partner's Web site and completes a sale. "sale commission" means the Payout Weave Detangle sets and agrees to pay for Customersreferred to the Weave Detangle’s Web site that results in a sale of a product or service. The sale could occur at the time of the visit or at a later time not to exceed 30 days. If a sale occurs after 30 days and the Visitor has not returned through an authorized Affiliate's Partner’s site, then no Payout shall occur. Sales Commission is the only type of commission Weave Detangle offers Affiliates and Partners. "Payout" means the amount of sale commissionWeave Detangle agrees to pay for an individual measurable action. The Payout is defined as either a percetage of a total sale amount, or as a set bounty (flat rate) per action or a combination of the two. Weave Detangle Affiliates earn 5%, Partners earn 10% plus $50 for each Partner Referral. "Commission" means the amount sale commission, lead commission, or click commission a Merchant agrees to pay for an individual measurable action. The Payout is defined as either a percetage of a total sale amount, or as a set bounty (flat rate) per action. Weave Detangle Affiliates earn 5%, Partners earn 10% plus $50 for each Partner Referral "Link" means a hyperlink placed on an Affiliate or Partners site that, when clicked on, sends a Customer through to Weavedetangle.com website via redirection at Shareasale.com. Links take many forms including text, a product image, buttons, banners, videos or any other format acceptable to the Weave Detangle. “Manual ID” means an ID that Weave Detangle assigns to the Affiliates and Partners who request an ID that their customers can manually enter in the “GIFT CARD/AFFILIATE/PARTNER” box at checkout and receive commissions from that sale. This is not a required ID. This ID is used by Affiliates and Partners that promote Weave Detangle mostly in person, or who typically host Weave Detangle parties and sign customers up on the weavedetangle.com website immediately, or for Affiliates and Partners who purchase Advertising materials off the Advertising page of weavedetangle.com. A request for a Manual ID can be emailed to contact@weavedetangle.com "VOID" means a reversal of a Payout previously earned for a sale, that is later rescinded or corrected by Weave Detangle. Weave Detangle may VOID transactions that are fraudulent, or in the case of returned merchandise, duplicate transactions, or other valid reasons. "Your Account" means a specific account within the Service, where Commissions are credited. THE SERVICE Shareasale.com has developed and operates a service (the "Service") which allows Affiliates and Partners to participate in Performance Marketing programs. As an Affiliate or Partner of Weave Detangle and of Shareasale.com you will be establishing arrangements with third partyorganizations, called Merchant or Weave Detangle. All Affiliate and Partner relationships established between You, the Affiliate or Partner, and Shareasale.com Merchant Weave Detangle, will be conducted and managed through the Service. LINK PLACEMENT As an Affiliate or Partner of the Service, you may place and remove Weave Detangle Merchant Links on Your site and in acceptable locations.

AFFILIATE PAYMENT You will receive a Commission for sending a Weave Detangle authorized sales via Your Links. In order to place Links, You must first be approved by a Weave Detangle to become an Affiliate or Partner of that Weave Detangles Affiliate/Partner program. You understand that the Payout amount may be changed at any time. This information is also available to You at the shareasale.com Member’s Area. You are responsible for determining if the Payout for a Link You have placed on Your site has changed or been discontinued. You receive the Commission from shareasale.com. Payments are made automatically on the twentieth (20th) day of each month when Your account balance reaches $50 or more for the previous months' transactions. Money credited to Your Account does not accrue interest. In the event of a VOID by a Merchant, shareasale.com may recover from You the corresponding Commission previously credited to Your Account. The VOID Commission will be immediately deducted from Your Account balance. In the event that Your Account balance is less than the VOID Commission, the VOID Commission will be deducted against Your future earnings. You will NEVER be asked to send money to shareasale.com SERVICE AND SUPPORT shareasale.com will provide support for the Service as indicated on the shareasale.com Web site. EMAIL CONTACT shareasale.com and weavedetangle.com reserves the right to send e-mail to You for the purposes of informing you of applicable changes or additions to the Service or any shareasale.com related products and services. CHANGES TO THE SERVICE shareasale.com and/or weavedetangle.com reserves the right to change, modify, add or remove portions of this Agreement at any time and may add to, change, suspend or discontinue any aspect of the Service at any time. In the event of any material change, shareasale.com and/or weavedetangle.com will notify You via e-mail, newsletter or the shareasale.com Web site at least 7 days prior to any such changes taking effect, at which time You may either agree to such changes or withdraw from the Service. REGISTRATION To sign up as an Affiliate or Partner of Weave Detangle on shareasale.com and to use the Service as an Affiliate/Partner you must be at least 18 (eighteen) years of age, and supply a valid tax-id, which may be your social security number for individuals, or a federal tax-id for corporations or entities. Partners (Affiliates earning 10% plus $50 Partner Referral bonuses) must sign up on weavedetangle.com on the Affiliate/Partner page and pay their annual $300 Partner fee. Partners can only sign up using this method. This fee will be automatically charged to your credit card on file annually. To cancel your Partner status and stop paying your annual $300 Partner fee, email contact@weavedetangle.com with the subject line “Cancel Partner”, at least 30 business days before your Partner fee is due. THE FOLLOWING TYPES OF SITES ARE NOT ALLOWED TO PARTICIPATE IN shareasale.com or weavedetangle.com: ADULT SITES, SITES THAT DISPLAY ADULT BANNERS, SITES THAT PROMOTE VIOLENCE, BIGOTRY, OR HATRED. SITES THAT PROMOTE ILLEGAL ACTIVITY, including but not limited to WAREZ, CRACKING, and HACKING SITES. As part of the registration process, You will select a username and password combination that You use to access Your Affiliate area within the Service. You shall provide shareasale.com with accurate, complete and updated registration information. You may not select the name of another person with the intent to impersonate that person or deceive members or other users as to Your true identity. You agree that shareasale.com and weavedetangle.com may rely on any data, notice, instruction or request furnished to shareasale.com and weavedetangle.com by You which is reasonably believed by shareasale.com and weavedetangle.com to be genuine and to have been sent or presented by a person reasonably believed by shareasale.com and weavedetangle.com to be authorized to act on Your behalf. You shall notify shareasale.com and weavedetangle.com by e-mail at shareasale@shareasale.com or contact@weavedetangle.com of any known or suspected unauthorized uses of Your Account, or any known or suspected breach of security, including loss, theft or unauthorized disclosure of Your username and password. You shall be responsible for maintaining the confidentiality of Your username and password and You are responsible for all usage and activity on Your Account, including use of the account by a third party authorized by You to use Your Account. Any fraudulent, abusive or otherwise illegal activity may be grounds for termination by shareasale.com and weavedetangle.com and referral to the appropriate law enforcement agencies. ACCEPTED USE You represent to shareasale.com and weavedetangle.com that all content You provide to the Service is solely owned by You or provided by You with the express authority of the company You represent, does not infringe upon any other individual's or organization's rights (including, without limitation, intellectual property rights) and is not defamatory, libelous, unlawful or otherwise objectionable. You shall not provide, promote, distribute, place or otherwise publish as an Affiliate or Partner of the Service any content, or Web site that includes content, which is libelous, defamatory, obscene, pornographic, abusive, fraudulent or violates any law. As shareasale.com and weavedetangle.com may not review all information provided by You, You shall remain solely responsible for Your content and Web site. As an Affiliate, You may not artificially inflate traffic counts to Merchant site(s) using any device, program, robot or other means, including but not limited to JavaScript pop-up windows and redirects. You may not click on Your own banners and/or links or submit multiple leads to Your Merchant partners. Links may not be placed in newsgroups, unsolicited e-mail, ICQ, banner networks, counters, chatrooms or guestbooks. Any Link placed must be done in such a way that it is not misleading to any Visitor and done with the intention of delivering valid sales, leads, or clicks to the related Merchant for that Link. Points or reward programs for click or lead programs are NOT allowed. shareasale.com and weavedetangle.com RESERVES THE RIGHT TO DEEM ANY SITE INAPPROPRIATE AND TERMINATE THE SITE AS A MEMBER OF shareasale.com and weavedetangle.com. If You are terminated from the Service, shareasale.com and weavedetangle.com has the right to withhold money You earned within the Service or money that You owe within the Service and You will not be allowed to re-join shareasale.com and weavedetangle.com. LIMITED WARRANTY The Service, its operation, its use and the results of such use shall be performed in a workmanlike manner. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, shareasale.com and weavedetangle.comDISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, IN RELATION TO THE SERVICE, ITS USE AND THE RESULTS OF SUCH USE. WITHOUT LIMITING THE FOREGOING, Weave Detangle LLC and shareasale.com SPECIFICALLY DISCLAIMS ANY WARRANTY (A) THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, (B) THAT DEFECTS WILL BE CORRECTED, (C) THAT THERE ARE NO VIRUSES OR OTHER HARMFUL COMPONENTS, (D) THAT THE SECURITY METHODS EMPLOYED WILL BE SUFFICIENT, OR (E) REGARDING CORRECTNESS, ACCURACY, OR RELIABILITY. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. Weave Detangle will make reasonable commercial efforts to keep its transaction service operational during normal business hours. However, certain technical difficulties may, from time to time, result in temporary service interruptions. Affiliate/Partner understands and acknowledges that it is normal to have a certain amount of system downtime and further agrees not to hold the Merchant liable for any of the consequences of such interruptions. WEAVE DETANGLE SHALL HAVE NO LIABILITY FOR UNAUTHORIZED ACCESS TO, OR ALTERATION, THEFT OR DESTRUCTION OF ANY WEB SITE OF AFFILIATE OR AFFILIATE CUSTOMER DATA FILES OR SYSTEMS OR PROGRAMS THROUGH ACCIDENT, FRAUDULENT MEANS OR DEVICES. MERCHANT SHALL HAVE NO LIABILITY WITH RESPECT TO MERCHANT OBLIGATIONS HEREUNDER OR OTHERWISE FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES EVEN IF MERCHANT HAS BEEN NOTIFIED OF SUCH DAMAGES. ANY LIABILITY OF MERCHANT HEREUNDER SHALL BE LIMITED TO THE REVENUE EARNED BY THE AFFILIATE AND/OR PARTNER, $5,000 OR TGE SMALLEST AMOUNT PERMITTED BY LAW, WHICHEVER IS THE LESSER AMOUNT,AS A DIRECT RESULT OF THIS AGREEMENT. LIMITATION OF LIABILITY Weave Detangle LLC, shareasale.com OR ITS SUPPLIERS OR RESELLERS OR MERCHANTS SHALL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR (I) ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER ARISING OUT OF THE USE OF OR INABILITY TO USE THE weavedetangle.com and/or shareasale.com SERVICE OR ANY INFORMATION PROVIDED ON THE weavedetangle.com and/or shareasale.com WEB SITE OR ANY OTHER HYPERLINKED WEB SITE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA, EVEN IF weavedetangle.com and/or shareasale.com OR A weavedetangle.com and/or shareasale.com AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS OR OTHER INACCURACIES IN THE WEB SITE OR ANY HYPERLINKED WEB SITE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. You agree that weavedetangle.com and shareasale.com, although the provider of the Service, has no responsibility or liability as a result of Your placement of authorized Links from Your Web site, and You, jointly and severally agree to indemnify, defend, and hold harmlessweavedetangle.com, shareasale.com and its affiliates, officers, directors, employees and agents from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable attorneys' fees) directly or indirectly arising from or relating to any offer or any other matter related to this Agreement or the subject matter hereof and any dispute relating thereto. You agree agrees to indemnify, defend, and hold harmless weavedetangle.com and/or shareasale.com and its affiliates, Partners, owners, officers, directors, employees and agents from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable attorneys' fees) directly or indirectly arising from or relating to weavedetangle.com’s and/or shareasale.com's negligence or willful misconduct in performance of the Services or its breach of this Agreement. NON-DISCLOSURE weavedetangle.com acknowledges that in the course of this Agreement you may have access to confidential and proprietary information ("Confidential Information") of Weave Detangle. You agree not to disclose or disseminate the Confidential Information without prior express written consentfrom Weave Detangle. The term "Confidential Information" shall not include information that is or becomes part of the public domain through no action or omission of weavedetangle.com and/or shareasale.com, that becomes available to weavedetangle.com and/or shareasale.com from third parties without knowledge by shareasale.com of any breach of fiduciary duty, or that weavedetangle.com.com had in its possession prior to the date of this Agreement. Weave Detangle does have access to your customer transactions, including what is passed to us through the installed tracking code and displayed on Your own transaction reports. Any information we receive is used for tracking and Commission payment purposes along with other metrics and trends that will be beneficial to weavedetangle.com. Weavedetangle.com reserves the right to be able to utilize this data in aggregate to analyze Service trends, monitor Service efficiencies, and perform such other analysis as weavedetangle.com deems appropriate. OWNERSHIP AND LICENSES You, the Affiliate/Partner, are granted a non-exclusive, limited, revocable right to use Merchant provided trademarks and banners. All images, technology and content provided for Your use is and shall remain the sole property of the Merchant,Weave Detangle LLC and no part thereof shall be deemed assigned or licensed to You except as explicitly provided for herein. All intellectual property rights, including trademarks, copyrights, patent rights or applications, tradenames and service marks related to the foregoing shall remain the Merchant’s sole property, including rights in and to any derivatives thereof. You may not modify the trademarks, banners, the content or any of the images provided to You in any way. A Merchant may immediately terminate Your license to use the marks if the Merchant reasonably believes that such use dilutes, tarnishes or blurs the value of their marks. You acknowledge that Your use of the marks will not create in You, nor will You represent that You have, any right, title or interest in or to the marks other than the license granted by the Merchant above. You will not challenge the validity of or attempt to register any of the marks or Your interest therein as a licensee, nor will You adopt any derivative or confusingly similar names, brands or marks or create any combination marks with the marks, or similar businesses. You acknowledge the Merchant’s ownership and exclusive right to use the marks and agree that all goodwill arising as a result of the use of the marks shall inure to the benefit of the Merchant. REPRESENTATIONS weavedetangle.com makes no representations, endorses or accepts any responsibility for the content or the use of your Web site. NONASSIGNABILITY Weave Detangle LLC/ weavedetangle.com or shareasale.com may assign this Agreement to any successor or affiliate upon notice to the other party and mutual agreement between both parties. FORCE MAJEURE Neither party shall be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, governmental action, labor conditions, earthquakes or any other cause which is beyond the reasonable control of such party. JURISDICTIONAL ISSUES This Agreement shall be governed by Maryland, USA law (except for conflict of law provisions). The exclusive forum for any actions brought in connection with this Agreement shall be in the state and federal courts in and for the State of Maryland, USA and You consent to such jurisdiction. The application of the United Nations Convention on the International Sale of Goods is expressly excluded. MISCELLANEOUS This Agreement represents the complete agreement concerning this license and may be amended only by a writing executed by both parties. THE ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER. If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable. 11/2017
